NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES
1. Eligibility. VOID IN PUERTO RICO, U.S. VIRGIN ISLANDS, U.S. TERRITORIES AND POSSESSIONS AND WHERE PROHIBITED. Offer limited to U.S. residents who are 18 years or older. The following persons are not eligible to enter the Sweepstakes: (a) employees, contractors and officers of TOMS Shoes, Inc ("TOMS"); and (b) immediate family members and persons living in the same household as the persons identified in (a) above.

2. Entry. To enter, go to he Promotions tab at http://www.facebook.com/tomsshoes?ref=ts and complete and submit the online entry form. Entrants are not required to: (a) purchase goods or services, (b) pay any money, or (c) submit to a sales promotion, to be eligible for the Sweepstakes. Entries must be completely filled out to be valid. Limit one (1) entry per household, per day. Entry opens at 7:00:00 am, Pacific Standard Time (PST) on October 21, 2009 and ends 07:00:99 pm., Pacific Standard Time (PST) on November 6, 2009. TOMS is not responsible for entries that are corrupted or otherwise not received correctly.

3. Odds. Odds of winning depend on number of entries received.

4. Prize and Drawing. One (1) winner will be chosen from among all entrants by a random drawing in Santa Monica, CA by midnight on each Sweepstakes day. The winner will receive one (1) pair Classic Canvas Shoes (ARV $45). No prize substitution or cash equivalent of prize, except at TOMS' sole discretion, and then only for a prize of equal or greater value.] Prizes are not transferable. Winner may be required to sign and return an Affidavit of Eligibility and Release within 14 days of notification in order to receive the prize. Except as specifically set forth herein, all information provided by entrants will be subject to the TOMS Privacy Policy. The Privacy Policy may be viewed on the TOMS Web Site at http://www.tomsshoes.com/privacy_statement.html Privacy Policy is subject to change at any time, without notice, by TOMS. By entering, each participant agrees: (a) to be bound by these Rules and the decisions of TOMS; and (b) to release and hold harmless TOMS and its officers, employees, agents and directors from any and all liability, injuries, loss or damage of any kind arising from the participant's participation or the acceptance or use of the prize. Winners will be notified by email within five (5) days from date of the drawing. If a winner cannot be reached or does not respond within 10 days following such notification, the prize will be forfeited and an alternate winner will be chosen. Each winner hereby grants to TOMS, without further consideration the unrestricted right to use and publish his or her name, city, state and likenesses on-line and in print in any other media in connection with the Sweepstakes, where legal. (Tennessee residents need not consent or sign any publicity release.) The prize will be shipped to the address stated in the winner's entry.

5.General Conditions This Sweepstakes is sponsored and promoted by TOMS Shoes, Inc., 3025 Olympic Blvd., Studio C, Santa Monica, CA 90404. For a winners list, write to: TOMS Shoes, Inc., Attention: Sweepstakes, 3025 Olympic Blvd., Studio C, Santa Monica, CA 90404 Each request must be accompanied by a self-addressed, stamped envelope. The list will be available for one (1) year, beginning on or about July 7, 2010. TOMS reserves the right to (i) modify, suspend or terminate the Sweepstakes in the event it becomes infected by a computer virus or is otherwise technically impaired, and to cancel or suspend the Sweepstakes in its entirety should tampering, unauthorized intervention, fraud, technical failures or other causes beyond TOMS control corrupt the administration, security, fairness, integrity or proper play of the Sweepstakes; and (ii) cancel or suspend part or all of this Sweepstakes in the event that printing errors impair the administration, fairness or proper play of the sweepstakes. If this is the case, the winner will be determined from among all entries received prior to cancellation. In the event of a dispute regarding the identity of the person submitting an online entry, the entry will be deemed to be submitted by the "Authorized Account Holder" of the e-mail address submitted at time of entry. Authorized Account Holder means the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER PERSON TO DELIBERATELY DAMAGE THE WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, TOMS RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS' FEES) FROM ANY SUCH ENTRANT OR PERSON TO THE FULLEST EXTENT OF THE LAW, INCLUDING SEEKING CRIMINAL PROSECUTION.
